Terms of Service
These Terms of Service (“Terms”) are a legal agreement between you and NAAX TECHNOLOGIES CORP., a company registered in the Philippines (“Naaxtech,” “NERP,” “we,” “us”). They govern your use of the NERP platform and every application offered on it — including Docmaker, Boopy, and any other apps we add (each an “App,” together with the platform, the “Service”). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. What NERP is
NERP is a single platform that hosts multiple business apps under one account. One NERP login gives you access to every App you install, one shared plan, and one shared pool of tokens. Each App has its own purpose (for example, Docmaker creates invoices and receipts; Boopy tracks subscriptions and bills), but all Apps run under NERP and these Terms.
2. Your account
To use NERP you must:
- Be at least 16 (or the age of digital consent where you live, if higher);
- Provide a valid email address, and keep your credentials secure;
- Be responsible for everything that happens under your account.
NERP is organised into businesses (workspaces). You may create businesses and invite teammates. The owner of a business is responsible for its members' use of the Service and its data.
3. Plans, tokens & billing
NERP is offered on a free tier and paid plans. Paid plans grant a monthly pool of tokens that every App and AI feature draws from — there are no separate per-App bills. Upgrading an App simply draws from the same token pool. Prices are shown at nerp/pricing and may change; active subscriptions keep their rate for the paid period. Payments are processed by our payment provider acting as merchant of record. Unless required by law, payments are non-refundable, but you can cancel anytime and keep access until the end of the paid period.
4. Acceptable use
You agree not to:
- Break the law, infringe others' rights, or upload harmful or illegal content;
- Attempt to access data belonging to other businesses or users;
- Probe, scan, overload, or reverse-engineer the Service;
- Resell or white-label the Service without our written permission.
5. Your content & data
You own the content and data you put into NERP. You grant us the limited rights needed to host and operate the Service for you (for example, storing and processing your data so an App works). We don't sell your data. See our Privacy Policy for details.
6. AI features
Some Apps offer AI features. AI output can be wrong or incomplete — treat it as a helpful draft, not professional (legal, tax, or financial) advice. You are responsible for reviewing AI output before relying on it.
7. Availability & changes
We work hard to keep NERP available but don't guarantee uninterrupted service. We may add, change, or remove features and Apps. If we make a material adverse change to these Terms, we'll give reasonable notice.
8. Termination
You can stop using NERP and delete your account anytime from Settings. We may suspend or terminate accounts that violate these Terms. On deletion, we remove your data as described in the Privacy Policy, subject to legal retention requirements.
9. Disclaimers & liability
The Service is provided “as is.” To the extent permitted by law, we disclaim implied warranties and our total liability is limited to the amount you paid us in the 12 months before the claim. Nothing here limits liability that can't be limited by law.
